MPD (UK Sales) Ltd - TERMS & CONDITIONS OF SALE - Environmental Statement

Standard Conditions of Trade under which all orders are accepted by MPD (UK Sales) Ltd which is hereinafter called ‘the Company’. In these conditions ‘Customer’ means any person, firm or company at whose request work is performed or goods are supplied by the Company, ‘goods’ means the articles, things or services supplied to the Customer by the Company.

GENERAL: Acceptance of this offer includes acceptance of the following terms and conditions of sale. Any variation of the terms and conditions of any contract shall become binding only if confirmed in writing by the Company. Prices subject to alteration without notice.

2.

VALIDITY:

Except where expressly stated, quotations remain open for acceptance for 30 days from the date stated, and for delivery in accordance with what stated.

3.

DELIVERY DATES:

Delivery dates are quoted in good faith and every effort will be made to comply with dates quoted. However, no responsibility can be accepted by the Company for delays arising from causes beyond our control. Furthermore, if manufacture and/or supply are cancelled by act or default by the Buyer, the Company reserves the right to make a claim for loss and expense arising from the cancellation.

PAYMENT:

Terms of payment are nett 30 days from invoice date providing the Customer is granted a credit account. Any sums not paid by the Customer by the due date shall bear interest at the rate of 3% per annum above Bank of England base lending rate per annum or part thereof from the due date to the date when payment is received by the Company. The Company reserves the right to withhold goods ordered by the Customer until payment has been received in the event that the Company has reasonable doubts about the Customer’s ability or willingness to pay by the due date.

The Company reserves the right to make enquiries with regard to the Customer credit worthiness and assign the Customer a credit limit based on the information received and other considerations. Should the value of orders placed at any time be above the total credit assigned or exceed the credit limit if added to any amounts outstanding on the Customer’s account, the Customer shall pay the difference in advance of delivery of the goods ordered.

CLAIMS:

In case of a claim for: a) non-delivery of a consignment or part thereof; b) short delivery; c) damage in transit; the Company must be notified, in writing, within 7 days from invoice date. The Customer is advised to inspect goods upon arrival. Any claim for a failure of the goods to be in accordance with the Contract which ought to be revealed by a reasonably diligent examination must be notified to us in writing within SEVEN days from receipt of such goods. If no such notice is received within seven days the goods will be deemed to be in all respects in accordance with the contract and the Customer shall be bound to accept and pay for them.

N.B. In the case of any visible damage on delivery to the external packaging the Customer MUST sign for the goods accordingly, stating "Damage to packaging" - "Broken carton" - "Broken pallet" etc. In such cases the Customer should unpack the goods and examine for damage in the presence of the delivery driver. Where this procedure is not followed any claim for damage in transit may not be accepted.

6.

RETURNS:

Goods to be returned for credit will only be accepted against prior agreement and if in their original packaging, unused and saleable as new. The Company reserves the right to refuse returns and reject delivery unless goods to be returned are accompanied by a ‘Return authorisation reference’ which will be advised by the Company. In all cases a restocking charge of 10% minimum will apply.

7.

SPECIFICATION:

The Company reserves the right to amend or modify designs, materials or construction details or prices without notice.

8.

TITLE:

Title in the goods shall remain the sole and absolute property of the Company until such time as the Customer shall have paid to the Company the whole of the purchase price of all goods and works which are the subject of this contract or any other contract between the Company and the Customer (either solely or jointly with any other party) and for the purpose of these conditions a cheque or other bill of exchange shall not be deemed to be paid unless it shall have been met on presentation. The Customer shall not be entitled to sell or otherwise dispose of the goods without this condition being passed on to the subsequent purchaser or beneficiary.

9.

DEFECTS:

In lieu of any warranty implied by law, the Company expressly guarantee to repair or replace, free of charge, any components of products supplied which develop defects resulting from faulty materials or workmanship within 12 months of the date of supply. This guarantee does not extend to fair wear and tear, misuse, wilful damage, faulty installation by others or storage, or use in unsuitable conditions. In no case will the Company accept responsibility for consequential losses, damage or expenses which may result from such defects.

10.

CARRIAGE:

No carriage charges shall be payable in respect of orders of a value in excess of £ 350 nett excluding VAT for delivery in the UK Mainland, unless any form of special delivery is required by the Customer, in which event all packing, postage and freight charges shall be to the Customer’s account.

11.

INTERNATIONAL:

We are able to ship to countries outside the EU. All prices quoted are intended ex-UK warehouse unless otherwise stated on our quotation. Freight charges which are expressly quoted do not include Custom Clearance, duty and taxes, and related fees as will apply to all countries outside the EU.

12.

VAT:

All prices subject to VAT at the rate ruling at date of dispatch.

ENVIRONMENTAL STATEMENT

MPD (UK Sales) Ltd are committed to meeting and wherever possible anticipate directives and legislation on the conservation of energy and safeguard of the environment.

The Company takes these issues very seriously and at a local level and small scale implements policies aimed to reduce a damaging impact on the environment, by striving to reduce the use of energy, water and paper. On a global trading level, wherever possible (and always in the case of major suppliers) the Company chooses manufacturers using ISO14001 registration as a positive criteria for supplier selection.

All packaging used by the Company is recyclable.
